Overview

Harsha is a Partner in the firm’s Transactional practice group and chairs the firm’s global Debt Capital Markets practice. Harsha represents a diverse set of transaction participants in a wide variety of financings. He has extensive experience advising investment funds, family offices, and other types of lenders and borrowers in connection with fund formations and private credit transactions. Harsha also routinely represents investment banks and both corporate and governmental issuers in high-yield debt securities issuances, private placements, and various other types of capital raises.

Harsha works with a broad range of private credit funds and their managers, including closed-end funds, business development companies, rated-debt feeder funds, and multiple bespoke funds that focus on the investment of public assets in debt securities and/or other types of credit obligations. He also regularly assists borrowers with complex debt facilities. Since 2020, Harsha has represented the State of Colorado in connection with the formation and capitalization of the State's CLIMBER Loan Fund, which seeks to deploy $250 million in capital to Colorado small businesses. Harsha currently serves as general counsel to the Centennial State Liquid Investment Pool (CSLIP), one of Colorado’s four local government investment pool trust funds.

In addition to his private credit practice, Harsha has represented investment banks and issuers as disclosure counsel in over 100 high-yield municipal debt offerings that have raised several billions of dollars in capital for issuers in Colorado and throughout the country. He has testified as an expert witness before both the Colorado General Assembly and the Colorado Senate on topics relating to capital formation for Colorado municipalities and has served as a panelist at national and state conferences of numerous industry organizations, including the National Association of Bond Lawyers and the Special District Association of Colorado. 

Harsha supports a number of Denver-area nonprofit organizations and has served on multiple boards. He is currently a board member and serves on the executive committees of both the Colorado Fiscal Institute and the Denver Family Institute. From 2023-2024, Harsha served as an adjunct professor at the University of Denver’s Sturm College of Law, where he co-taught a seminar on the public capital markets. A very active private debt investor and angel investor, Harsha is currently an investor and advisor to a rapidly growing biotech startup that is using patented technology to transform biobased carbon into high-performance circular fiber.

Did you know...

Harsha is an avid banjo player and has played in many bluegrass bands over the past 20 years, throughout high school, college, law school, and beyond. While his most recent group disbanded some years ago—and though the amount of time he spends playing has reduced dramatically since becoming a parent—he still occasionally finds time to putz around with his instrument and is always on the lookout for others to jam with.
